These Terms & Conditions ("Terms") govern your use of the Mill Mtn Solutions website at millmtn.ai, any text messages you receive from us, and — except where a signed agreement says otherwise — the services we provide. By using this site, contacting us, or agreeing to receive texts from us, you accept these Terms.
If you don't agree with them, please don't use the site or our services.
Mill Mtn Solutions
Mill Mtn Solutions ("we," "us," or "our") is a small advisory and development practice run by Alex Shema, based in Roanoke, Virginia. We provide operations advising, AI integration, custom application development, web design, and business strategy services.
Use of the website
You're welcome to browse this site and use the contact form for genuine business inquiries. You agree not to:
- Use the site for any unlawful purpose, or in a way that could damage or overburden it
- Submit false, misleading, or automated form submissions, or send us spam
- Attempt to gain unauthorized access to the site, its hosting, or any connected systems
- Scrape, copy, or republish site content without our written permission
We may suspend or block access if the site is being misused.
Text messaging (SMS/MMS) terms
These terms apply to the Mill Mtn Solutions text messaging program. By agreeing to receive text messages from us, you accept the terms in this section.
What we send
We text clients and prospective clients about the work we're doing together — scheduling and confirming calls, project and delivery updates, questions that need a quick answer, notices about applications we build and operate, and billing or account matters. Messaging is a working channel, not a marketing list.
Consent and opt-in
We only text people who have asked us to. To opt in, text START to (844) 747-2040 from the mobile number you'd like us to use. Your inbound message is your consent to receive text messages from us at that number, and we retain it as the record of that consent. We'll send one confirmation message identifying us and stating the message frequency, that message and data rates may apply, and how to get help or stop.
We do not enroll numbers obtained any other way. A number given to us on a call, in an email, or through our contact form will not receive text messages unless that number has itself opted in as described above.
Opting in is optional, and your consent to receive text messages is never a condition of purchasing any goods or services from us. You certify that the mobile number you opt in from is one you own or are authorized to use, and you agree to tell us if that number changes or is reassigned.
Message frequency
Message frequency varies. How often you hear from us depends on your project and the conversation at hand. There is no fixed or recurring send schedule, and we do not send bulk campaigns to this list.
Cost
Message and data rates may apply. Any charges for sending or receiving text messages come from your mobile carrier under your own plan — not from us. Check with your carrier if you're unsure what your plan covers. We don't charge you anything to receive our messages.
Opting out
You can stop receiving messages at any time by replying STOP to any message from us. We'll send a single confirmation that you've been unsubscribed, and after that we will not text that number again unless you opt back in by texting START. You can also simply email or tell us, and we'll remove the number.

Reply HELP to any message for assistance, or email us at alex@millmtn.ai with any question about the messaging program.
Delivery and carriers
Message delivery is subject to your carrier's network and your device. Carriers are not liable for delayed or undelivered messages. We can't guarantee that every message will arrive, or arrive on time, and you shouldn't rely on text messaging for anything urgent or time-critical. Supported carriers may change without notice.
Privacy of your mobile number
We do not share your mobile number. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors who provide support services — such as the messaging platform that delivers a text on our behalf — is permitted solely for that purpose. Text messaging originator opt-in data and consent are excluded from all other sharing and will not be shared with any third party for any reason.

Messaging we operate for clients
Some applications we build and operate for clients send text messages to that client's own customers. In those cases the client runs the messaging program and is responsible for its own consent, disclosures, and terms; we act as their service provider. This section covers messages sent by Mill Mtn Solutions on our own behalf.
Services, fees, and payment
Specific engagements are governed by a separate written proposal, statement of work, or agreement, which sets out scope, deliverables, timeline, and rates. Where those documents conflict with these Terms, the signed agreement controls for that engagement.
Unless a signed agreement says otherwise:
- Work is billed at the rates quoted in the applicable proposal or statement of work
- Invoices are due on the terms stated on the invoice
- Scope changes are quoted and agreed before the additional work begins
- Third-party costs — hosting, licenses, API and messaging usage, and similar pass-through items — are your responsibility unless we've agreed otherwise in writing
Nothing on this website is an offer or a quote. Descriptions of services here are general information only.
Intellectual property
The content of this website — text, design, graphics, logos, and code — belongs to Mill Mtn Solutions and is protected by copyright and trademark law. You may not reproduce or redistribute it without our written permission.
Ownership of work product created during a client engagement is governed by that engagement's written agreement. Absent such an agreement, we retain ownership of our pre-existing tools, libraries, methods, and general know-how, and grant you a license to use the deliverables for your business purposes.
Confidentiality
We treat information you share about your business as confidential and use it only to provide services to you. We ask the same of you regarding our proposals, pricing, methods, and any non-public materials we share. This obligation doesn't cover information that is already public, that you already had, or that we're legally required to disclose.
Third-party services and links
We rely on third-party providers — including hosting, messaging, analytics, and AI platforms — to operate this site and deliver our services. Their own terms and policies govern their services, and we're not responsible for their acts or omissions. This site may also link to third-party websites we don't control or endorse.
Disclaimers
This website and its content are provided "as is," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the site will be uninterrupted, error-free, or free of harmful components.
Content on this site is general information, not professional, legal, financial, or tax advice, and shouldn't be relied on as a substitute for advice about your specific situation.
Limitation of liability
To the fullest extent permitted by law, Mill Mtn Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of your use of this site or our text messaging program — even if we've been advised such damages are possible.
Our total liability arising from this website or the messaging program is limited to one hundred U.S. dollars ($100). Liability arising from a client engagement is governed by that engagement's written agreement.
Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless Mill Mtn Solutions and Alex Shema from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of this site, your violation of these Terms, or your violation of any law or third-party right — including providing us a mobile number you weren't authorized to give.
Termination
We may suspend or end your access to this site, or stop messaging you, at any time and for any reason. You can stop using the site at any time, and can opt out of messaging by replying STOP. Sections that by their nature should survive — intellectual property, confidentiality, disclaimers, liability, and indemnity — continue to apply after termination.
Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute arising from these Terms or this website will be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.
Changes to these terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date at the top of this page. Continuing to use the site or our messaging program after a change means you accept the updated Terms.
